2. Scope of Services:
2.1 Work One Personnel Staffing (“Agency”) provides temporary, temp-to-hire, and direct placement staffing services to clients (“Client”).
2.2 The Agency will recruit, screen, interview, and assign qualified candidates to Client’s job openings.
2.3 The recruitment process includes advertising positions, reviewing resumes, conducting initial interviews, and performing background checks as required by the Client.

3. Client Responsibilities:
3.1 Client shall provide detailed job descriptions, including required qualifications, skills, and experience for each position.
3.2 Client is responsible for maintaining a safe work environment and complying with all applicable workplace safety regulations.
3.3 Client shall provide necessary training and orientation to assigned employees.
3.4 Client shall report any workplace injuries or safety concerns involving assigned employees to the Agency immediately.

4. Assigned Employee Management:
4.1 Assigned employees remain employees of the Agency and are subject to the Agency’s policies and procedures.
4.2 Client shall provide day-to-day supervision and direction to assigned employees.
4.3 Client shall not reassign employees to duties significantly different from those specified in the original job description without prior approval from the Agency.
4.4 Performance issues or disciplinary matters should be reported to the Agency promptly for appropriate action.

5. Fees and Payment Terms:
5.1 Client agrees to pay the Agency’s fees as outlined in the separate Fee Schedule, which may include markup rates on employee wages and additional service fees.
5.2 Invoices will be issued weekly and are due within 15 days of the invoice date.
5.3 Late payments are subject to a 1.5% monthly interest charge.
5.4 For direct placements, a placement fee will be charged as per the Fee Schedule.

6. Confidentiality and Non-Solicitation:
6.1 Both parties agree to maintain the confidentiality of all proprietary information exchanged during the course of this agreement.
6.2 Client agrees not to directly solicit, hire, or engage any employee introduced by the Agency for a period of 12 months after the last day of assignment, unless otherwise agreed in writing.

7. Liability and Indemnification:
7.1 The Agency shall maintain appropriate insurance coverage, including workers’ compensation, for assigned employees.
7.2 Client agrees to indemnify and hold the Agency harmless from any claims arising from Client’s workplace conditions or Client’s negligence.
7.3 The Agency’s liability is limited to the fees paid by Client for the specific assignment in question.

8. Termination and Notice Periods:
8.1 Either party may terminate this agreement with 30 days’ written notice.
8.2 Client may request the removal of an assigned employee at any time, but must provide written notice to the Agency.
8.3 Immediate termination is permitted in cases of material breach of this agreement.

9. Compliance with Laws:
9.1 Both parties agree to comply with all applicable federal, state, and local employment laws and regulations.
9.2 The Agency assumes responsibility for compliance with the Affordable Care Act (ACA) for eligible assigned employees.
9.3 Client shall not discriminate against any assigned employee based on any protected characteristic under applicable law.

10. Dispute Resolution:
10.1 Any disputes arising from this agreement shall first be addressed through good-faith negotiations between the parties.
10.2 If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in Los Angeles County, California.
10.3 This agreement shall be governed by and construed in accordance with the laws of the State of California.

11. Amendments and Modifications:
11.1 Any changes to this agreement must be made in writing and signed by authorized representatives of both parties.
11.2 The Agency reserves the right to modify its policies and procedures as necessary to comply with changing laws and regulations.
